Terms and Conditions of Service

These Terms and Conditions of Service (the “Agreement”) constitute a legally binding agreement between Improve LLC, a Wyoming Limited Liability Company, located at 30 N Gould St, Ste R, Sheridan, WY 82801, USA ("Improve LLC", "we", "us", or "our") and you, the client ("Client" or "you"). This Agreement governs your access to and use of the consulting services provided by Improve LLC (the "Services").

1. Acceptance of Terms

By engaging Improve LLC for Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our Services.

2. Description of Services

Improve LLC provides online consulting services for content creators and infoproduct entrepreneurs. Our Services include, but are not limited to:

Strategy & Growth Consulting: Development of content strategies, business audits, growth roadmaps, audience targeting, and performance tracking.
Infoproduct Launch Accelerator: Guidance on product ideation, curriculum design, pricing strategy, launch campaign planning, sales funnel setup, and post-launch optimization for digital products (courses, ebooks, membership programs).
Content Monetization Mastery: Analysis and optimization of revenue streams, sponsorship strategies, membership model design, affiliate marketing implementation, and community engagement tactics.

Specific deliverables, timelines, and fees for each service engagement will be outlined in a separate Statement of Work (SOW) or project proposal, which upon acceptance by both parties, will become an integral part of this Agreement.

3. Client Responsibilities

The Client agrees to:

Provide timely and accurate information, materials, and feedback reasonably required by Improve LLC to perform the Services.
Ensure that all content, materials, and intellectual property provided to Improve LLC for use in the Services are owned by the Client or that the Client has obtained all necessary licenses and permissions for their use.
Make timely payments for Services as outlined in the SOW or invoice.
Appoint a primary contact person to liaise with Improve LLC regarding the Services.

4. Fees and Payment

Pricing: Fees for Services will be specified in the SOW or project proposal. All prices are quoted in USD.
Invoicing: Invoices will be issued according to the payment schedule outlined in the SOW.
Payment Terms: Payments are due within [e.g., 7, 14, 30] days of the invoice date. Late payments may incur a late fee of [e.g., 1.5%] per month or the maximum amount permitted by law.
Expenses: Any additional expenses incurred by Improve LLC on behalf of the Client (e.g., third-party software, advertising costs) will be pre-approved by the Client and billed separately.

5. Term and Termination

Term: This Agreement commences on the date of your acceptance and continues until all Services outlined in the SOW are completed, or until terminated as provided herein.
Termination by Client: The Client may terminate this Agreement or any SOW upon [e.g., 30] days written notice. In such an event, the Client agrees to pay for all Services rendered up to the termination date and any non-cancellable expenses incurred by Improve LLC.
Termination by Improve LLC: Improve LLC may terminate this Agreement or any SOW immediately upon written notice if the Client breaches any material term of this Agreement and fails to cure such breach within [e.g., 10] days of receiving notice, or if the Client fails to make timely payments.

6. Confidentiality

Both parties agree to keep confidential all non-public information disclosed by the other party during the course of this Agreement, including but not limited to business plans, financial information, client lists, and proprietary methodologies. This obligation of confidentiality shall survive the termination of this Agreement.

7. Intellectual Property

Client IP: All intellectual property provided by the Client to Improve LLC remains the sole property of the Client.
Improve LLC IP: All intellectual property developed by Improve LLC in the course of providing the Services, including methodologies, templates, and general know-how, shall remain the property of Improve LLC. Upon full payment for the Services, Improve LLC grants the Client a non-exclusive, non-transferable license to use the specific deliverables created for the Client for their intended business purposes.

8. Limitation of Liability

To the maximum extent permitted by law, Improve LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; or (c) unauthorized access, use or alteration of your transmissions or content. In no event shall Improve LLC's aggregate liability for all claims relating to the Services exceed the amount paid by you to Improve LLC for the Services in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. Improve LLC makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles. Any disputes arising out of or in connection with this Agreement shall be resolved through good faith negotiation. If a dispute cannot be resolved through negotiation, the parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Sheridan, Wyoming.

11. Miscellaneous

Entire Agreement: This Agreement, together with any SOWs, constitutes the entire agreement between you and Improve LLC regarding the Services.
Amendments: Improve LLC reserves the right to modify these Terms and Conditions at any time. We will notify you of any changes by posting the new Terms and Conditions on this page. Your continued use of the Services after any such changes constitutes your acceptance of the new Terms and Conditions.
Severability: If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect and enforceable.
Waiver: No waiver of any term of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and Improve LLC's failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
